Description of Service

Ondara provides a HIPAA-compliant patient intake management platform designed specifically for mental health practices. The Service includes customizable intake form templates, automated patient invitation and management, AI-powered clinical summary generation, and secure data storage with comprehensive audit logging. Ondara is provided on an "as-is" basis, and we reserve the right to modify, suspend, or discontinue features at any time with notice to users.

User Accounts

To use Ondara, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account. We reserve the right to refuse service to anyone for any reason at any time. Organizations using Ondara are responsible for ensuring all employees and team members using the platform are authorized to access patient data and understand their compliance obligations.

Acceptable Use

You agree not to use the Service in any way that violates applicable law or infringes upon the rights of others. You may not use Ondara to transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material. You agree not to attempt to gain unauthorized access to our systems, interfere with platform functionality, or reverse-engineer our software. You may not rent, lease, or share your account with unauthorized parties. Any violation of these acceptable use terms may result in immediate termination of your account.

HIPAA and Protected Health Information

Ondara is designed to be HIPAA-compliant, and users agree to use the Service in compliance with all applicable healthcare privacy regulations. For covered entities under HIPAA, a Business Associate Agreement (BAA) is available upon request. Users agree to maintain all Protected Health Information (PHI) in confidence and to implement necessary administrative, physical, and technical safeguards. You acknowledge that you are responsible for all uses of PHI through your account and must ensure appropriate authorization for all data access and use. Any suspected breaches of PHI must be reported to Ondara immediately.

Intellectual Property

All content, features, and functionality of the Service, including but not limited to software, graphics, text, and designs, are owned by Ondara or our licensors and are protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your authorized business purposes. You may not reproduce, modify, distribute, or create derivative works of any portion of the Service without prior written consent. Any content you submit to Ondara (such as form templates) that are not Protected Health Information may be used by Ondara to improve our Service.

Limitation of Liability

To the maximum extent permitted by law, Ondara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from or related to your use of the Service, even if Ondara has been advised of the possibility of such damages. Our total liability for any claim arising from the Service shall not exceed the amount you paid to Ondara in the 12 months preceding the claim, or $100, whichever is greater. Some jurisdictions do not allow limitation of liability, so this limitation may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Ondara and its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from or related to your use of the Service, violation of these terms, or infringement of any third-party rights. This includes, but is not limited to, claims related to your use of PHI, violation of healthcare regulations, or unauthorized access to patient information through your account.

Termination

Ondara may terminate or suspend your account and access to the Service immediately, without notice or liability, if you violate these Terms of Service or applicable laws. Upon termination, all data associated with your account will be retained for 30 days and then permanently deleted, except where we are required to retain data by law. You may terminate your account at any time by notifying Ondara in writing. Upon termination initiated by you, you will lose access to the Service and any associated data.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of [State/Jurisdiction], without regard to its conflict of law principles.
